1. Agreement to Terms

By accessing or using the Evaluate platform you agree to be bound by these Terms of Service. If you do not agree to these terms you may not access or use the platform. These terms apply to all users of the platform including agency team members and clients.

2. Description of Service

Evaluate is an AI-powered advertising performance platform that connects to Meta and Google Ads accounts to provide creative analytics, performance intelligence, automated reporting, and campaign insights. The platform is operated by Evaluate, registered in Norway.

3. Access and Accounts

Access to the platform is by invitation only. Accounts are created by Evaluate and credentials are sent via a one-time invite link. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify Evaluate immediately if you suspect unauthorized access to your account.

You may not share your account credentials with any third party. Each user account is for a single individual only.

Evaluate reserves the right to suspend or terminate any account at any time if these terms are violated or if continued access poses a risk to the platform or other users.

4. Authorized Use

The platform is provided for legitimate business purposes related to advertising performance monitoring and optimization. You agree not to:

Use the platform for any unlawful purpose or in violation of any applicable laws or regulations.

Attempt to gain unauthorized access to any part of the platform, its infrastructure, or other user accounts.

Reverse engineer, decompile, or attempt to extract the source code of the platform.

Scrape, copy, or reproduce any part of the platform or its data without express written permission from Evaluate.

Use the platform to transmit harmful, offensive, or misleading content.

Interfere with or disrupt the operation of the platform or its underlying infrastructure.

Use the platform in any way that could damage the reputation of Evaluate or its clients.

5. Ad Account Connections

By connecting your Meta or Google Ads account to the platform you authorize Evaluate to access your advertising data including campaign performance metrics, creative assets, and account information for the purpose of providing the services described in these terms.

Evaluate accesses your ad accounts in read-only mode for data and reporting purposes and with write access only where explicitly enabled for campaign management features. You may revoke this access at any time through your Meta or Google account settings or by contacting Evaluate directly.

You represent and warrant that you have the authority to connect the ad accounts you link to the platform and that doing so does not violate any agreements you have with Meta, Google, or any other third party.

6. Data and Privacy

Evaluate collects and processes advertising performance data, creative assets, and account information as described in our Privacy Policy available at evaluate.no. By using the platform you agree to the collection and use of your data as described in the Privacy Policy.

Client data is isolated within the platform. Each client user can only access data associated with their own assigned ad accounts. Evaluate does not share individual client data with other clients.

Evaluate uses anonymized and aggregated data across its client portfolio to generate industry benchmarks and cross-client intelligence insights. No individually identifiable client data is shared or disclosed in this process.

7. AI-Generated Content

The platform uses artificial intelligence to generate insights, recommendations, and reports based on your advertising data. All AI-generated content is provided for informational purposes only. Evaluate does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output.

You are solely responsible for any decisions made based on AI-generated insights or recommendations. Evaluate is not liable for any outcomes resulting from actions taken based on platform outputs.

8. Intellectual Property

The Evaluate platform, including its design, code, AI models, data infrastructure, and all associated intellectual property, is owned exclusively by Evaluate. Nothing in these terms grants you any ownership interest in the platform or its underlying technology.

Content you upload to the platform, including creative assets and ad account data, remains your property. By uploading content you grant Evaluate a limited license to process and analyze that content for the purpose of providing the services described in these terms.

9. Availability and Uptime

Evaluate will make reasonable efforts to maintain platform availability but does not guarantee uninterrupted access. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Evaluate is not liable for any losses arising from platform downtime or unavailability.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Evaluate is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of revenue, loss of data, or loss of business opportunity.

Evaluate's total liability to you for any claim arising from these terms or your use of the platform shall not exceed the amount you paid to Evaluate in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Evaluate, its employees, and its contractors from any claims, damages, losses, or expenses arising from your use of the platform, your violation of these terms, or your violation of any third party rights including Meta and Google platform policies.

12. Termination

Evaluate may terminate or suspend your access to the platform at any time with or without notice if you violate these terms or if Evaluate determines that continued access is not in the interest of the platform or its users.

Upon termination you will lose access to the platform and all data associated with your account. Evaluate will retain your data for up to 30 days after termination to allow for any necessary data retrieval requests before permanent deletion.

You may request termination of your account at any time by contacting Evaluate directly.

13. Changes to Terms

Evaluate reserves the right to update these terms at any time. When changes are made the updated date at the top of this document will be revised. Continued use of the platform after changes are posted constitutes acceptance of the updated terms. Evaluate will make reasonable efforts to notify users of significant changes via email or an in-platform notification.

14. Governing Law

These terms are governed by the laws of Norway. Any disputes arising from these terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Norway.
